1. Agreement Overview
This End User License Agreement ("Agreement") is a binding legal agreement between Jade Controls ("Licensee") and Intuit Inc. ("Intuit"), the provider of QuickBooks Online, governing the Licensee’s access and use of the QuickBooks Online Production API solely for internal business purposes.
By accessing or using the QuickBooks Online API in a production environment, the Licensee agrees to comply with this Agreement and Intuit’s API Terms of Service.
2. Purpose and Scope
Licensee is authorized to access and use the QuickBooks Online API solely for the following purposes:
Retrieving, processing, or updating accounting, payment, and financial data for Licensee’s own QuickBooks Online account.
Performing internal business analysis or automation functions related to Licensee's own accounting and payment workflows.
Licensee shall not:
Use the API to access or process data belonging to third parties.
Resell, sublicense, or distribute API access or related functionality to any third party.
Create a public-facing product or service using the API.
3. License Grant
Subject to compliance with this Agreement and Intuit's Developer Terms of Service, Licensee is granted a limited, non-exclusive, non-transferable, revocable license to access and use the QuickBooks Online API for internal business purposes only.
4. Data Access and Security
Licensee agrees to:
Securely store and manage all API credentials, client secrets, and tokens.
Implement access controls to ensure only authorized personnel have access to the API and retrieved data.
Immediately notify Intuit in the event of unauthorized access or data breach involving QuickBooks API data.
5. Compliance with Intuit Terms
This Agreement is subject to and incorporates by reference Intuit’s applicable API and Developer Terms of Service, including but not limited to:

QuickBooks Online API Usage Limits and Guidelines
Any breach of Intuit’s terms may result in termination of API access.
6. Ownership
All rights, title, and interest in and to the QuickBooks Online API and associated documentation remain with Intuit. Licensee retains all rights to its own business data accessed through the API.
7. Disclaimer and Limitation of Liability
Licensee acknowledges that the QuickBooks API is provided “as is.” Intuit disclaims all warranties, express or implied, including but not limited to merchantability or fitness for a particular purpose. Licensee uses the API at its own risk.
In no event shall Intuit be liable for any indirect, incidental, or consequential damages arising out of or related to Licensee's use of the API.
8. Termination
This Agreement is effective as of the Effective Date and remains in effect until terminated. Either party may terminate this Agreement at any time with or without cause. Upon termination, Licensee must cease all use of the QuickBooks Online API and securely delete all credentials and data retrieved through the API.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
10. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior agreements or understandings.
